I just did this and had zero issues. Here is what i did:
1) Completely Uninstall XCode (the readme file tells you how)
2) Upgrade to Snow Leopard
3) Download and install XCode for Snow Leopard (I did not install the one on the DVD)
The important point is whenever you upgrade the SDK and XCode, ALWAYS uninstall the old one before installing the new one. This solves almost every problem people have.
