Updation of xcode3.2.1 to xcode3.2.3

I have snow leopard 10.6.4 and xcode3.2.1 is running on it. I want to upgrade that xcode to xcode3.2.3. What should i do ? will i need to install the latest one and double click it or need to first uninstall earlier version ?

Also on the latest xcode downloading page I read the following text which doubts me whether i should have iphone4 cellphone with me before downloading this ? I have iphone 3 right now

If you have updated your iPhone to iOS 4.0.1 or your iPad to iOS 3.2.1 you will need to download and install iOS SDK 4.0.1 to continue your development.

You can just install the latest version of XCode.
This will give you support for iOS 4.0.1 and the iPhone 4.

All your older iOS devices will still for just fine, but no SDK 3 is installed.
New app that get submitted to apple can only be build against the 4.0 SDK.
Building app that are compatible with 3.0 is a little more work, you can just set the deployment SDK version to 3.* and your apps will run on a 3.* device.
Just be sure to check that you do not runnen any iOS 4.0 only code.
