Universal App vs iPad only?

What are the pros and cons from an app store perspective? Thoughts?

For universal apps, are downloads factored in to the ipad AND iphone sales ranks?

The big problem is the 20MB limit. I don't see how I can stay below 20MB if I include every picture 3 times, for iphone, iphone4 and ipad.
What if I submit the same app once for iphone and once for ipad. Will Apple reject it?

well if each is optimized for each device then they shouldn't reject it

depends, if your iPad app is large in storage then I'd prefer separate apps
